Position Overview

The Senior Law Clerk will be an integral addition to the Legal Department at JI, contributing to the achievement of key business priorities by providing strategic proactive and reactive advice and solutions to the business. The Senior Law Clerk will work closely with all functional areas in the company to identify and assume responsibility for projects and processes in need of legal input. Specifically, the role of the Senior Law Clerk will include; reviewing, revising, customizing and drafting a high volume of contracts ranging in complexity across functional areas; negotiating contract language with external and internal partners; developing and revising contract and other legal templates; proactively educating the business on the appropriate use of templates and the legal and commercial fundamentals of contracts; reviewing and providing legal advice on proposed JI websites across functional areas; drafting materials for and advising on legal aspects of contests and other promotions; handling access to information responses and privacy inquiries; responding to and escalating queries under JI's FCPA program; and generally working within the Legal Department and the Director of Law and the business on a wide range of legal and business projects. The Senior Law Clerk will also provide general support to the Patent Department for matters related to the Canadian patent portfolio, and as it relates to the PMNOC regime and the PMPRB.

Key Responsibilities:

Contracts:

Creating, revising and managing template agreements and forms

Working with and proactively educating colleagues regarding the proper use of template agreements and forms and the legal and commercial fundamentals of contracts

Establishing, implementing and managing internal processes around contract and template review and drafting

Working with colleagues, Director of Law, other members of the Legal Department at JI, other J&J attorneys and/or outside counsel, as applicable, on review, creation and approval of contracts across products and functions: including Clinical Trial Agreements, Confidentiality Agreements, contracts governing interactions with healthcare professionals, general commercial contracts for provision of basic services, buying group tender contracts

Negotiating contract language with external and internal partners

In cases where the review or development of a contract is out of scope for the Senior Law Clerk, acting as the point of triage for requests for contract review and development

Administer JI's FCPA program:

Reviewing, advising and assisting in the development, from a legal perspective, of websites across functional areas

General support for the Patent Department within the Legal Department as it relates to Form IV submissions under the PMNOC Regulations, Canadian patent portfolio, patent submissions to the PMPRB

Oversight and management of the Legal website

Assessing inquiries and requests relating to access-to-information and privacy matters, and handling the responses to such inquiries

Review, creation and approval of product-related contests and other promotions

Process improvement within the Legal Department

Qualifications


Completion of Canadian Law Clerk accredited program required

Minimum of 8 years prior experience as a Law Clerk/Senior Law Clerk, including some in-house experience is required

Minimum of 5 years experience drafting and revising contracts is required

Experience with FCPA programmes, patent matters in the pharma industry, access-to-information requests and responses, is an asset

Ability to drive process improvements and manage projects

Demonstrated excellent judgment and analytical skills

Demonstrated ability to effectively work independently with little supervision

Demonstrated abilities to work in a fast-paced environment, meet stringent timelines, prioritize work relative to business context, and handle multiple demands simultaneously

Highly computer literate, with advanced skills in MS Office (Outlook, Word, Excel and PowerPoint) and different legal and contracts databases

Excellent interpersonal and communication skills (both verbal and written) and ability to work with a wide range of people with varying degrees of legal exposure

Basic contract negotiating skills

Bilingualism (English & French, verbal & written) is an asset
