Position Purpose
Under the direction of the Chief Counsel, this position provides legal advice and counsel to the Bankâs business managers in order to support Bank operations and objectives while minimizing legal and regulatory risk.
- Identify and address legal issues relating to the Bankâs business and operations; recommend solutions or alternative approaches and courses of action; provide legal counsel and support to internal Bank clients, including Senior Management of the Bank and the Bankâs Board of Directors (in consultation with the Chief Counsel) regarding complex legal issues affecting the Bank.
- Conduct legal research and prepare memoranda, position papers, correspondence or other materials summarizing and applying research and analysis to Bank issues.
- Plan and supervise projects and coordinate with client groups, outside counsel, consultants, and other resource providers, as appropriate.
- Provide legal advice and counsel to operating and service departments of the Bank, serving as the main contact within the Legal Department with respect specific departments and matters, as determined from time to time by the Chief Counsel.
- Actively participate in work of the Federal Home Loan Bank counsel subcommittees and task forces on a variety of Federal Home Loan Bank System issues, as needed.
- Provide legal advice and support to various Bank departments regarding general corporate governance matters, as needed, and draft memoranda, minutes and resolutions, as appropriate, in connection with matters presented to or acted upon by the Bankâs Board of Directors and/or its committees.
- Assess standard Bank policies, procedures, processes and documentation for compliance with applicable laws and regulations and devise alternative approaches, as appropriate.
- Assume additional responsibilities, as assigned.
Desired Qualifications
- Juris doctorate degree from an accredited law school and bar admission in Washington State or in another state (if requirements for limited practice as House Counsel in Washington State are met).
- Minimum five yearsâ experience in a comparable attorney position; focus on financial institutions, regulatory, commercial, and corporate law strongly preferred.
- Broad general knowledge and understanding of banking and financial markets, financial and economic analysis, accounting principles, and financial statements.
- Strong client service ethic.
- Strong analytical and critical-thinking skills; excellent written and verbal skills, including the ability to communicate effectively with non-lawyers.
- Familiarity with applicable software, e.g., Microsoft Office, and information research and retrieval systems, e.g., Westlaw, Lexis.
- Excellent organization, interpersonal, client relations and team skills, including the ability to build consensus on difficult legal and business issues.
- Ability to effectively prioritize, multi-task, manage projects independently and lead projects to successful completion, often under tight time constraints.
